VENUE PARTNER AGREEMENT

This Agreement is entered into between Wedven and the Venue Partner identified in Part A. It consolidates all commercial, operational, compliance, privacy and payout terms into one document, with vendor details captured once and a single signature at the end.

Part A — Parties, Recitals & Vendor Details

All identifying details are captured once in this Part only.

Recitals

• Wedven operates an online platform enabling customers to discover, compare and book venues for weddings and events.
• The Venue Partner owns, operates, or is duly authorised to offer for booking, the venue identified above.
• The Parties wish to record, in a single consolidated document, the complete terms governing their commercial relationship.
• This Agreement, together with Schedules 1 to 13, constitutes the entire understanding between the Parties.

Part B — Master Agreement (Sections 1–28)

1. Definitions

Key terms include Platform, Booking, Customer, Booking Amount, Platform Fee, Commission, Settlement, Vendor Dashboard and Business Day, as defined in the full agreement PDF.

2. Purpose & Appointment

The Venue Partner appoints Wedven on a non-exclusive basis to list, market and facilitate online bookings for its venue through the Platform.

3. Platform Role

Wedven is solely a technology platform. It does not own, lease, manage, supervise or operate any venue listed on the Platform.

4–5. Services Provided / Not Provided

Wedven may provide listing, booking, payment collection, dashboard, settlements, notifications and marketing. Unless agreed in writing, Wedven does not provide catering, decoration, photography, event planning, DJ, transport, security or similar venue services.

6. Venue Listing & Vendor Declarations

The Venue Partner authorises Wedven to publish venue information and confirms all supplied information is accurate and that it has authority to enter this Agreement.

7–9. Term, KYC & Vendor Obligations

The Agreement continues until terminated under Section 23. The Venue Partner shall complete KYC (Schedule 10), keep listing/pricing/availability accurate, honour confirmed bookings, and not engage in fraud or false information.

10–11. Booking Process & Merchant of Record

All booking payments for Wedven-originated bookings are collected exclusively by Wedven. A booking is confirmed only after successful payment. The Venue Partner shall not accept direct advances, cash booking advances, or share personal UPI/bank details to bypass Wedven for such bookings.

12–14. Commission, Settlement & Bank Account

Commission and Platform Fee apply as per Schedule 1. Settlements are released to the registered bank account in Part A (or as authorised under Schedule 12).

15–17. GST, Pricing & Responsibilities

The Venue Partner is responsible for its own GST compliance. Published Platform prices at booking time must be honoured. The Venue Partner remains responsible for safe and lawful venue operations.

18–21. Liability, Confidentiality, Privacy & Fraud

Venue Partner remains responsible for venue operations and indemnifies Wedven as set out in Schedule 5. Customer data may be used only for fulfilling confirmed bookings (Schedule 6). Fraud/chargeback handling is set out in Schedule 7.

22–23. Suspension & Termination

Wedven may suspend or terminate for KYC failures, false information, fraud, diversion of customers, or material breach (Schedule 9). Either Party may terminate with 30 days’ written notice unless immediate termination grounds apply.

24–28. IP, Force Majeure, Disputes, Governing Law & General

Governed by laws of India; courts at Ahmednagar, Maharashtra have exclusive jurisdiction. Force majeure, IP licence for listing content, notices, severability and entire-agreement clauses apply as in the full PDF.

Part D — Final Declaration & Mutual Execution

By signing below, the Parties confirm they have read and understood this Agreement (Parts A–C and Schedules 1–13); Part A information is true and accurate; the Venue Partner agrees to the commercial and operational terms; and Wedven is authorised to process bookings, collect payments and settle funds as set out herein.
